Pre-GA terms and conditions.

This Pre-GA Agreement (“Agreement”) applies to all Customers and Authorized Users of Talkdesk that purchase, contribute, gain access to, or use Talkdesk Services that are pre-general availability or designated as “Preview” (“Pre-GA Services”)* and/or participate in product development activities including, but not limited to, early development, advisory board, co-innovation, and early-stage collaboration activities with Talkdesk. Except as otherwise specified herein, capitalized terms used in this Agreement have the meanings given to them in Talkdesk’s online Master Subscription Agreement, or, as applicable, the signed Master Subscription Agreement between the parties (“MSA”).

Access to Pre-GA Services is given to select customers in Talkdesk’s sole discretion in exchange for thoughts and feedback. In consideration of this access and participation, Customer agrees to: (i) use all aspects of the product or feature in scope; (ii) actively participate in feedback meetings as defined within the terms of the specific program; (iii) support and participate in other marketing activities for in scope product or feature, including but not limited to joint press releases, case studies reference calls, and online reviews; and (iv) abide by the terms of the MSA. Talkdesk and its Affiliates are free to use and build on any suggestion, enhancement request, recommendation, correction, or other feedback given by Customer to Talkdesk in connection with this Agreement.

Talkdesk may discontinue access to Pre-GA Services at any time in its sole discretion and may decide not to make Pre-GA Services generally available. PRE-GA SERVICES ARE NOT GENERALLY AVAILABLE AND MAY CONTAIN BUGS, ERRORS, DEFECTS OR HARMFUL COMPONENTS. ACCORDINGLY, TALKDESK IS PROVIDING THE PRE-GA SERVICES TO CUSTOMER “AS IS.” TALKDESK MAKES NO WARRANTIES OF ANY KIND WITH RESPECT TO THE PRE-GA SERVICES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NOTWITHSTANDING ANYTHING IN THIS AGREEMENT TO THE CONTRARY OR ANY PUBLISHED DOCUMENTATION THAT STATES OTHERWISE, TALKDESK DOES NOT WARRANT THAT THE PRE-GA SERVICES: (A) WILL BE ERROR-FREE, (B) WILL MEET ANY SPECIFIED SERVICE LEVEL, OR (C) WILL OPERATE WITHOUT INTERRUPTIONS OR DOWNTIME. TALKDESK SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY HARM OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.

*References to “Early Access” Services in the MSA are synonymous with “Pre-GA” Services as described in this Agreement.
